1. Services Overview

Cleben provides restaurant market intelligence services, including:

• Free Report: A one-time market snapshot for your restaurant

• Navigator: Ongoing weekly market tracking and competitive intelligence (subscription)

• Blueprint: Comprehensive market analysis report (one-time purchase)

• AI Agent: AI-powered insights and recommendations (subscription)

• Expert Consulting: Personalized consulting sessions (one-time purchase)

2. Eligibility

To use Cleben, you must:

• Be at least 18 years of age

• Have the legal authority to enter into these Terms

• Provide accurate and complete information when creating an account or making a purchase

Cleben services are currently available to users in Canada. We plan to expand to North America and globally in the future.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain and promptly update your account information

• Keep your login credentials secure and confidential

• Notify us immediately of any unauthorized access to your account

• Accept responsibility for all activities that occur under your account

4. Subscription Services

4.1 Subscription Terms

Our subscription services (Navigator, AI Agent) operate on a 3-month billing cycle:

• Subscriptions are billed every 3 months

• Subscriptions automatically renew at the end of each 3-month period

• You will be charged the applicable subscription fee at the beginning of each billing cycle

4.2 Cancellation Policy

You may cancel your subscription at any time. Upon cancellation:

• You will retain access to the service until the end of your current 3-month billing period

• Your subscription will not renew for the next billing cycle

• No refunds or prorated refunds will be provided for the remaining time in your current billing period

4.3 Why No Refunds?

Our subscription services are designed to deliver value over time. Market intelligence and competitive tracking require consistent monitoring to identify meaningful trends and opportunities. A 3-month commitment ensures you have sufficient time to see the full value of our insights and make informed business decisions.

To cancel your subscription, please contact us at hello@cleben.com or manage your subscription through your Stripe customer portal.

5. One-Time Purchases

For one-time purchases (Blueprint, Expert Consulting):

• Payment is due at the time of purchase

• Delivery timelines will be communicated at the time of purchase

• All sales are final. No refunds will be provided for one-time purchases.

6. Pricing and Payment

• All prices are displayed in Canadian Dollars (CAD) unless otherwise specified

• Prices are subject to change with reasonable notice

• Payment is processed securely through Stripe

• You are responsible for any applicable taxes

7. Acceptable Use

You agree NOT to:

• Use our services for any unlawful purpose

• Attempt to gain unauthorized access to our systems or other users' accounts

• Interfere with or disrupt the integrity or performance of our services

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without express written permission

• Use automated systems (bots, scrapers) to access our services without permission

• Share your account credentials with others

• Use our data or insights to harm or defame the restaurants analyzed

8. Intellectual Property

8.1 Our Content

All content, features, and functionality of Cleben—including but not limited to text, graphics, logos, reports, analytics, and software—are owned by meSearch Labs Corporation and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Use

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your personal or internal business purposes. This license does not include:

• Reselling or commercial redistribution of our reports or data

• Modifying or creating derivative works from our content

• Using our content to build a competing product or service

8.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use such feedback without any obligation to you.

9. Data and Analytics Disclaimer

9.1 Data Sources

Our market intelligence is derived from publicly available data sources including Google Maps, Instagram, Yelp, and Statistics Canada. We aggregate and analyze this data to provide insights.

9.2 No Guarantees

While we strive for accuracy, we do not guarantee that:

• Our data is complete, accurate, or up-to-date at all times

• Our insights will result in specific business outcomes

• Our competitive analysis reflects the complete picture of any market

9.3 Use at Your Own Risk

Our services are provided for informational purposes. Business decisions based on our insights are made at your own discretion and risk. We are not responsible for any business outcomes resulting from the use of our services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Cleben shall not be liable for any indirect, incidental, special, consequential, or punitive damages

• Cleben shall not be liable for any loss of profits, revenue, data, or business opportunities

• Our total liability for any claims arising from your use of our services shall not exceed the amount you paid to us in the 12 months preceding the claim

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy or reliability of any information obtained through our services

12. Indemnification

You agree to indemnify, defend, and hold harmless meSearch Labs Corporation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services

• Your violation of these Terms

• Your violation of any third-party rights

13. Termination

13.1 By You

You may stop using our services and close your account at any time by contacting us at hello@cleben.com.

13.2 By Us

We may suspend or terminate your access to our services at any time, without prior notice, if:

• You breach these Terms

• We are required to do so by law

• We discontinue our services

13.3 Effect of Termination

Upon termination:

• Your right to use our services will immediately cease

• You will not be entitled to any refund of fees paid

• Sections of these Terms that by their nature should survive termination will survive

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

2. Formal Proceedings: If informal resolution fails, any legal action shall be brought exclusively in the courts located in British Columbia, Canada.
